Welcome to CollabZen. The CollabZen service (the "Service") is provided by SKYNEX GLOBAL COMMERCE & TECH INC., doing business as Skynex Digital ("we," "us," or "our"). These Terms of Service govern your use of our Service.

CollabZen is a CRM management software that helps small and medium enterprises manage their external partner collaborations, track deliverables, and analyze partnership performance using Supabase for secure data management.

By accessing or using CollabZen, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use our Service.

3. Service Description

CollabZen provides a cloud-based CRM platform that enables users to:

• Manage partner and campaign information
• Track deliverables and performance metrics
• Monitor collaboration costs and ROI
• Generate reports and analytics
• Import and export data (based on subscription tier)

4. User Accounts and Registration

To use CollabZen, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your account information remains current and accurate

5. Subscription Plans and Billing

5.1 Service Tiers

We offer Free and Pro subscription tiers with different features and usage limits. Current pricing and features are available on our website.

5.2 Payment Terms

• Pro subscriptions are billed monthly through Stripe
• Payments are processed automatically on your billing date
• All fees are non-refundable except as required by law
• We may change pricing with 30 days advance notice

6. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Upload malicious software or harmful content
• Attempt to gain unauthorized access to our systems
• Use the Service for any illegal or fraudulent purpose
• Interfere with or disrupt the Service or servers

7. Data Ownership and Privacy

You retain ownership of all data you input into CollabZen. We use Supabase for secure data storage and management. Our data practices are governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Service Availability

While we strive to maintain high availability, we do not guarantee uninterrupted access to the Service. We may suspend or terminate access for maintenance, updates, or security reasons with reasonable notice when possible.

9. Intellectual Property

The Service, including its software, design, content, and trademarks, is owned by Skynex Digital and protected by intellectual property laws. You are granted a limited, non-exclusive license to use the Service for its intended purpose.

10. Limitation of Liability

To the maximum extent permitted by law, Skynex Digital shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.

11. Termination

Either party may terminate these Terms at any time. Upon termination:

• Your access to the Service will cease
• You may export your data within 30 days (Pro users only)
• We may delete your data after a reasonable retention period
• All outstanding fees become immediately due

12. Governing Law

These Terms are governed by the laws of British Columbia, Canada. Any disputes will be resolved in the courts of British Columbia, and you consent to the jurisdiction of such courts.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.
